Where should I setup an offshore company?
I sell software on the internet. My customers are all round the world. I am UK based at present, but I would like to move overseas.
Which country should I setup an offshore company in? I have considered a GBC2 company in Mauritius but can anyone recommend another country?

James - what is Overseas for you? And how far do you want to move away from the UK?
If you come to Malta as a non domiciled resident, you can have a company structure that offers 5% tax after refund, a flat tax of 15% for yourself on a remittance basis. All in all very favourable conditions.
You will remain in Europe with all associated rights. These days offshore companies create problems. In some cases invoices are not accepted by the authorities. Trust in your product might be lower.
Malta has also an excellent IT infrastructure and if you do need any staff for support, you have a great availibility of language speakers readily available.

The CFC rules in the UK (Controlled Foreign Corporation) are clear, as you may read here, the section 749(5) of the Income and Corporation Taxes Act 1988: http://tinyurl.com/yyqen4a
So as long as you are a UK resident, all the suggestions you've got in the above posts are void & unappropriate if you are the shareholder of any non-EU company.
We can provide a suggestion of : 1. the structure 2. the trading method 3. the appropriate jurisdiction for what you want to achieve, against a small fee of 100 GBP.
The facts that: - you will move overseas is irrelevant (as per section 749(6)) ; - you are selling software (intagible property) is the only key which you can rely your structure on.

As you are UK citizen, you would most easily use UK based banking and merchant account services. Keep that in mind.
And as you are moving outside of UK, let me assume that you can take a residency in some almost tax-free country such as Malta, or that you can take a residency in a country where dividends are not taxed at all, and you receive income from your company in the form of dividends (you declare it as such).
Under the above conditions, you do not need to use an offshore company.
As non-UK resident, you could use a special company, Scottish Limited Partnership, which would allow you to easier and still use UK based banking and merchant services. In the same time you would not need to pay any tax on income which is not UK sourced income.
You would not need to report any income which is not sourced from UK.
As non-UK resident, you would not be liable any more for UK personal tax.
And if there is no UK income at all, you would not file any partnership report at all.
Do not mistake it, I am speaking about Limited Partnership, not a LLP.
Even the Limited Partnership can be setup with complete limited liability, by using an additional offshore company as a General Partner. However, if your business is not as risky, you can directly use the Limited Partnership and receive all the income as a General Partner. Our passive company can be provided as passive limited partner with no rights to any income, or you can setup a separate company.

It is obvious that the posts herein are basic due to the medium by which the discussion is carried out and that in subsequent discussion directly with the client the full details of any structure would be imparted to them. Naturally anyone who understands the benefits of offshore structures also understands that residential locations of owners and controllers is vital to the effectiveness of the package that you choose and clearly any of the contributors to this post will recommend that their client use appropriately incorporated 'ownership and control' vehicles to create a structure which does work for them despite residency within the UK. Whether the product is tangible or intangible is irrelevant.

hi james. your best place will be malta where u find one of the best well regulated internationally recognised onshore/offshore legislation.
